Estate Planning & Probate

  • Draft and format state specific estate plans such as Trust plans, Will plans, ancillary documents and Deeds;

  • Manage the trust funding process for estate planning clients;

  • Prepare and file probate Petitions, Notices, Motions, Orders, Affidavits, Answers/Responses, inventories, accountings, insurance and death benefit claims, and other required court forms;

  • Locate and notify heirs, beneficiaries, witnesses, and interested persons and coordinate to obtain waivers and other required information;

  • Coordinate the publishing of legal notices; and

  • Assist with the transfer and distribution of assets, name changes, resolve open claims, obtain EIN’s, record documents with the County Clerk, and maintain banking and billing records.

Corporate & Tax

  • Prepare and file organizational documents such as Certificates of Formation, Amendments, Dissolutions, Certificates, and related documents;

  • Draft meeting minutes, corporate resolutions, and business contracts and agreements (i.e. employment, severance, non-disclosure, indemnity, promissory notes, etc.);

  • Prepare and file charitable solicitation registrations, exemptions, renewals, tax-exempt applications and annual reports;

  • Maintain intellectual property portfolios and prepare USPTO applications;

  • Prepare responses to requests for information from the IRS, UCC, SEC, and other regulatory bodies and coordinate the production of supporting documentation; and

  • Coordinate the publishing of legal notices and obtain EIN’s.
